Corporate Paralegal
Experienced Corporate Paralegal
PAE is seeking a skilled, experienced, and motivated Paralegal to support its corporate legal department in Falls Church, VA. The Paralegal will be an integral part of a small, cohesive Legal Team focused on delivering sound legal guidance and practical business solutions.
Essential Job Duties:
- Manage the company’s business registrations in US and foreign jurisdictions, including coordinating document legalization procedures with foreign embassies
- Create, maintain and file corporate records, including resolutions, officer changes, annual reports, and related corporate documents in an electronic database
- Coordinate and receive board and management committee signatures for documents and materials
- Administer company information in various public business databases
- Manage the company’s “litigation-hold” process to ensure full compliance
- Index, track and manages document discovery and case files for litigated and investigated matters
- Provide support for corporate restructurings, such as mergers, acquisitions, formations, and dissolutions
- Maintain records related to engagement of outside counsel; manage outside counsel payment
- Provide assistance, as needed, to attorneys in the areas of labor/employment, contracts, litigation, ethics/compliance and on special projects
- Expected to be pro-active in making and implementing recommendations for improving/streamlining corporate legal processes
Minimum Requirements:
- Paralegal certificate (an equivalent level of legal training may be considered)
- Associate’s Degree from an accredited institution
- Three years’ paralegal experience
- Ability to manage business registrations in both US and foreign jurisdictions
- Demonstrated ability to compile, process, organize, store and retrieve complex data from various sources
- Strong computer skills including use of Outlook, Excel, Word, Acrobat Adobe; aptitude to learn company-specific tools
- Excellent verbal and written communication skills
- Ability to remain organized and work on multiple high priority projects simultaneously with minimal supervision
- Ability to succeed in a rapidly changing, no frills, results-oriented culture
- Demonstrate personal commitment and accountability for timely completion of projects
- Must be able to obtain and maintain a U.S. government security clearance
